OFFICIAL RULES

1. NO PURCHASE NECESSARY. A purchase will not increase your chance of winning. Beginning on November 1, 2005, you may enter the Therma-Tru Second Annual Ugliest Door in America Contest (.Contest.) by mail or on-line entry by submitting two (2) color photographs of your ugly entry door (.Photographs.), along with a short essay no less than fifty (50) words (.Essay.) describing why the entry door depicted in the Photographs deserves to be named as the Ugliest Door in America. All entries must include the measurements of the door opening, determined by the height and width of the actual door in feet and inches. The Photographs must have been taken by the entrant and must be of an entry door owned by the entrant. The Photographs must show (i) the entry door up close and (ii) the home's exterior.

To enter by regular mail: Entries must be legibly hand-printed or typed, in English, and include (i) your name, address, city, state, zip code, area code and evening phone number, and e-mail address (if any); (ii) measurements of the door opening; (iii) your Photographs; and (iv) your Essay. Entries must be mailed to: Therma-Tru Second Annual Ugliest Door in America Contest, 510 Garcia Avenue , Suite E, Pittsburg , CA 94565 . No mechanically reproduced entries allowed. All mail-in entries must be post-marked by January 31, 2006 and received by February 15, 2006 .

To enter on-line: Beginning 12:00 a.m. EDT on November 1, 2005 , access http://www.onthehouse.com or http://www.thermatru.com and follow the on-screen instructions to submit an entry. Entries must include your Photographs and Essay, along with your name, address, city, state, zip code, area code and evening phone number and e-mail address and the measurements of the door opening. Entries will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The .authorized account holder. is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Photographs submitted with on-line entry must be in .jpg or .tiff format, and file size should be no larger than 2MB . Entrants who have completed all other elements of an on-line entry (submission of Essay, door measurements and all required personal information) may submit their Photographs by regular mail by mailing them to the mail-in address noted above in the .To enter by regular mail. paragraph. Photographs submitted via regular mail must be accompanied by a copy of the Essay that was submitted on-line, along with the entrant's name, address, city, state and zip code, to enable Sponsors to match the Photographs with the appropriate on-line entry. All on-line entries must be transmitted and received by 11:59 p.m. EST on January 31, 2006 . All Photographs, if separately submitted via regular mail, must be post-marked by January 31, 2006 and received by February 15, 2006 .

Therma-Tru Corporation and On The House Syndication, Inc. (.Sponsors.) assume no responsibility for lost, late, damaged, misdirected, illegible or incomplete entries, all of which shall be void. Sponsors are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, or software on account of technical problems or traffic congestion on the Internet or at any website, human or technical error or failure of any kind in the access or transmission of data with any website or any combination thereof including but not limited to any injury or damage to any person's computer related to or resulting from participating or downloading any materials in this promotion. Sponsors reserve the right, in their sole discretion, to cancel or suspend the on-line portion of this Contest should a virus, bug or other cause beyond the reasonable control of Sponsors corrupt the security or proper administration of the Contest, and to award the prize from among all eligible online entries received prior to the time such action was taken. WARNING: Any attempt to undermine the legitimate operation of this promotion is a violation of criminal and civil laws, and should such an attempt be made, Sponsors reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution. Sponsors reserve the right in their sole discretion, to disqualify any individual (and his/her Contest entry) if such individual in any way attempts to undermine the integrity and/or proper play of the Contest.

2. Limit one (1) entry per person, e-mail address, or household, whether submitted by mail or on-line. If more than one entry is received per person, e-mail address or household, all such entries submitted will be disqualified. Any photograph where entry door is not clear will be disqualified.

3. Valid entries received by the dates and times set forth in Rule 1 will be eligible to be judged on or about February 1, 2006 (see Rule 4, below, for judging details). Proof of mailing or registering does not constitute proof of delivery or receipt by Sponsors. By entering, entrants acknowledge compliance with these Official Rules, including all eligibility requirements, and agree to waive all rights and remedies at law or in equity for any claim they may have relating to this promotion. All entries become the property of Sponsors and will not be returned. Submission of an entry grants Sponsor and its agents the right to publish, use, adapt, edit and/or modify the elements of such entry, or entrant's name, hometown, voice, likeness, photograph, image, any statements regarding this Contest, and any before and after photographs, in any way, in commerce and in any and all media, without limitation, and without consideration to the entrant. Submission of an entry and/or participation in a prize further constitutes the entrant's irrevocable waiver of any moral rights and assignment and transfer to Sponsors of any and all rights, title, and interest in and to the elements of the entry including, without limitation, the Photographs, Essay and any .before. and .after. photos of the prize winner's home with the .ugliest. door and/or with the new entry door, and including, without limitation, all copyrights and other intellectual property rights. The Photographs and Essays submitted in support of an entry must be entrant's own original creation, must be of an entryway owned by entrant, may not have been published previously, must not infringe third party rights and must be suitable for publication (i.e., not obscene or indecent in Sponsors' sole discretion). Entries not complying in any way with these Official Rules are subject to disqualification. No correspondence regarding entries will be entered into with entrants except as provided herein. Entrants waive all rights and remedies at law or in equity for any claim they may have relating to this promotion.

4. On or about February 15, 2006 , eligible entries will be judged by a panel of qualified judges selected by the Sponsors who will apply the following criteria in selecting the winners: ugliness of door in relation to façade (50%); creativity of essay (25%); and potential to improve house with new door (25%). Decisions of the judges are final and binding in all matters relating to this Contest. Winners will be notified by phone, mail or e-mail on or about March 15, 2006 . Prize winners may be posted on the winner's page of the Contest websites and announced by news release and during the .On the House with the Carey Bros.. radio program. Winning is contingent upon fulfilling all requirements of these Official Rules. In the event of a tie, winners will be selected based on the .potential to improve house with new door. criterion. Wisconsin residents only: in the event of a tie, duplicate prizes will be awarded.

5. A total of two (2) Prizes will be awarded, one (1) to the First Place Winner and one (1) to the Runner-Up. The First Place prize winner will receive a Therma-Tru® entry door system with a retail value not to exceed Five Thousand Dollars ($5,000), to be selected by winner with the assistance of Therma-Tru representatives. The Runner-Up prize winner will receive a Therma-Tru entry door system with a retail value not to exceed Three Thousand Five Hundred Dollars ($3,500), to be selected by winner with the assistance of Therma-Tru representatives. In addition, Therma-Tru will reimburse the costs of installing the selected Therma-Tru entry door system up to a maximum of Two Thousand Dollars ($2,000), if winner has the door system installed by a contractor prior to July 1, 2006 and winner's request for reimbursement, in a format specified by Therma-Tru, is received by Therma-Tru no later than November 1, 2006. ( First Place Prize ARV: $7,000; Runner-Up Prize ARV: $5,500; Total ARV for all prizes: $12,500.) Actual value of prizes may vary based on entry door system selected and cost of installation. Any difference between the stated ARV and actual value of prize will not be awarded in any form. Failure to install the entry door system by July 1, 2006 shall result in the winner's forfeiture of the installation cost reimbursement component of the prize. Additionally, failure to submit a claim for reimbursement of the installation costs, in the format specified by Therma-Tru, by November 1, 2006 shall result in the winner's forfeiture of the installation cost reimbursement component of the prize. Dollar amounts are expressed in U.S. currency. Prizes are non-transferable, and no prize substitutions or cash redemptions are allowed except by Sponsors in their sole discretion, or as otherwise provided herein. Sponsors may substitute a prize of equal or greater value if an advertised prize becomes unavailable. All income taxes on prizes are the winner's sole responsibility. All prizes will be awarded according to these rules and distributed no later than January 31, 2006, provided a sufficient number of qualifying entries is received and prizes are claimed in accordance with these Rules.

6. Winners must provide positive identification specified by Sponsors to claim a prize. Winners will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release without additional compensation (where permitted by law) within 10 days of notification or the prize will be forfeited and awarded to an alternate winner, time permitting, based on the criteria described above. If prize notification is returned as undeliverable, prize will be forfeited and awarded to an alternate winner, time permitting, based on the criteria described above. Except where prohibited, acceptance of a prize and/or participation in prize constitutes winner's agreement to hold harmless Therma-Tru Corporation, . On The House Syndication, Inc.., their parents, affiliates and subsidiary companies, advertising and promotion agencies, and the officers, directors, employees and agents of each of them (individually and collectively for the purposes of this Paragraph 6, . Contest Parties .) from and against any injuries, losses or damages arising in any way from or in connection with their participation in this promotion, the acceptance, possession, installation or use of the prize, Contest Parties' reliance upon their compliance with these rules, or their participation in prize-related activities, and further constitutes winner's agreement that the Contest Parties may use their names, voices, likenesses, biographical data, entry, photographs including both .before. and .after., and/or essays for advertising and promotional purposes in any and all media worldwide without limitation or additional compensation.

7. This Contest is only open to legal residents of the 50 United States and D.C. who are homeowners of the property shown in the Photographs and 18 years of age or older at the time of entry, except employees, directors, officers and agents of Sponsors, their parents, affiliates, and subsidiary companies, distributors, retailers, advertising and promotion agencies and members of the immediate families or households of any of the above. This Contest shall only be construed and evaluated according to United States law, and submission of an entry constitutes acceptance of the laws of the United States . This Contest is void outside the United States and where prohibited by law.
